1. Introduction

Signaldeck is operated by Daniel Todd Ltd, a company operating in the United Kingdom ("Signaldeck", "we", "us", or "our"). These Terms and Conditions govern your access to and use of Signaldeck, including our website, application, embeddable widgets, hosted feedback pages, APIs, billing tools, and related services (together, the "Service"). By creating an account, accessing the Service, embedding a Signaldeck widget, or starting a paid plan, you agree to these Terms.

If you use the Service on behalf of a company, organization, or other legal entity, you confirm that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you and that entity.

2. The Service

Signaldeck helps teams collect, organize, summarize, and act on customer feedback. The Service may include feedback collectors, structured flows, embedded widgets, hosted pages, response dashboards, AI-assisted summaries, usage limits, billing plans, and administrative tools.

We may improve, modify, suspend, or discontinue parts of the Service over time. Some features may be offered as beta, preview, experimental, invite-only, or early-access features and may change without notice.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate account information and keep it up to date.

You must notify us promptly if you believe your account has been accessed without authorization. We may suspend access to protect you, other users, the Service, or the public.

4. Beta and Invite Access

Signaldeck may require an invite code, administrator approval, or other eligibility requirements before you can access certain plans or features. Invite codes are not transferable unless we say otherwise.

Beta and early-access features are provided for evaluation and may be incomplete, unavailable, or changed before general release.

5. Your Content and Feedback Data

You retain ownership of content, questions, feedback, responses, metadata, site information, and other materials that you or your respondents submit to the Service ("Customer Content").

You grant Signaldeck a limited license to host, process, transmit, display, analyze, summarize, and otherwise use Customer Content as needed to provide, secure, support, and improve the Service.

You are responsible for your Customer Content, including making sure you have the rights, permissions, notices, and consents needed to collect and process it. You should not intentionally collect sensitive personal information through the Service unless you have a lawful basis and appropriate safeguards.

6. Widgets, Collectors, and Third-Party Sites

If you install a Signaldeck widget or collector on a website, product, or other digital property, you are responsible for that implementation and for providing any notices, consent flows, disclosures, or links required for your users and respondents.

You must not use widgets, APIs, or hosted pages to mislead respondents, collect unlawful data, send spam, distribute malware, interfere with the Service, or bypass plan limits or security controls.

7. AI-Assisted Features

The Service may use automated or AI-assisted tools to summarize responses, identify themes, suggest actions, translate content, or help prioritize feedback. These outputs may be incomplete, inaccurate, or not suitable for your use case.

You are responsible for reviewing AI-assisted outputs before relying on them. The Service does not provide legal, medical, financial, employment, or other professional advice.

8. Plans, Billing, and Subscriptions

Some parts of the Service are free, invite-only, usage-limited, or available only through a paid plan. Plan limits may include projects, collectors, responses, team seats, summaries, refreshes, API access, branding, exports, or other features.

Paid subscriptions are billed through our payment processor. By starting a paid plan, you authorize recurring charges for the selected plan, billing interval, applicable taxes, and any permitted usage-based fees until the subscription is cancelled or changed.

Upgrades, downgrades, cancellations, failed payments, or plan changes may affect access to features, usage limits, or Customer Content. Unless required by law or expressly stated otherwise, fees are not refundable.

9. Acceptable Use

You must not use the Service to:

  • violate any law, regulation, contractual duty, or third-party right;
  • collect, upload, or share content that is unlawful, abusive, deceptive, or harmful;
  • attempt to access accounts, data, systems, or areas of the Service without authorization;
  • interfere with, overload, scrape, reverse engineer, or disrupt the Service;
  • circumvent billing, plan limits, usage controls, or security measures;
  • use the Service to build or support a directly competing product using non-public features or data.

10. Privacy

Our handling of personal information is described in our Privacy Policy. You are responsible for your own privacy notices and compliance obligations for any Customer Content or respondent data you collect through the Service.

11. Intellectual Property

Daniel Todd Ltd and its licensors own the Service, including the software, design, branding, documentation, workflows, templates, and other materials we provide. These Terms do not transfer ownership of the Service to you.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.

12. Third-Party Services

The Service may integrate with or rely on third-party services, including payment processors, hosting providers, analytics tools, AI providers, email providers, or other infrastructure services. Your use of third-party services may be subject to their own terms and policies.

13. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk for the Service or other users, fail to pay amounts due, or use the Service in a way that may cause legal, security, operational, or reputational harm.

After termination, your access to the Service may end immediately. We may retain or delete Customer Content in accordance with our normal retention practices, legal obligations, and backup processes.

14. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, accuracy, availability, and error-free performance.

We do not guarantee that feedback, analytics, summaries, recommendations, or other outputs will be complete, accurate, or suitable for your decisions.

15. Limitation of Liability

To the fullest extent permitted by law, Signaldeck will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities.

To the fullest extent permitted by law, Signaldeck's total liability for claims relating to the Service or these Terms will not exceed the amounts you paid to Signaldeck for the Service in the 12 months before the event giving rise to the claim, or GBP 100 if you have not paid us.

16. Indemnity

You agree to indemnify and hold harmless Daniel Todd Ltd from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal costs, arising from your Customer Content, your use of the Service, your violation of these Terms, or your violation of laws or third-party rights.

17. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you, such as by posting an updated version in the Service or on our website. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

18. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over disputes relating to these Terms or the Service, except where applicable law gives you mandatory rights to bring a claim elsewhere.
